Missed the Estonian annual report deadline? What to do now

Updated 19 October 2026

The 2025 annual report for calendar-year companies was due on 30 June 2026. According to an analysis of the Business Register's open data, on 5 October 2026 about 54,000 companies still had a report past its deadline – almost all of them OÜs.

What can happen if you don't file

  • The missing report is publicly visible. Banks and partners can see it in the register.
  • The registrar can issue a warning to the company e-mail address in the Business Register. Check that the address still works.
  • A penalty payment can be imposed, and repeated until the report is filed.
  • Deletion from the register. If reports are still not filed, the registrar can start deleting the company from the register.

The fix: file the missing report(s) now

A late report can still be filed, and filing it is the way to stop the process. Even a company with no activity must file.

  1. 1.Download your business bank statement for the financial year (CSV or XML from LHV, Swedbank, SEB, Coop, Luminor, Wise or Revolut Business).
  2. 2.Upload it to Sumbit. Sumbit asks only about the unclear transactions, in plain English.
  3. 3.Sumbit builds the balance sheet, income statement, notes and profit distribution proposal, and checks that everything balances.
  4. 4.A management board member signs and submits the report in the e-Business Register (e-residents with their e-Residency digital ID).

Several years overdue?

Sumbit prepares several late years together and carries each year's closing balances into the next year automatically. You pay per year.

Common questions

My company had no activity. Do I still need to file?

Yes. Dormant companies must file too.

Will filing late stop deletion?

Filing the missing reports is how you stop the process. Do it as soon as possible, before deletion is completed.

Does Sumbit file the report for me?

No. A management board member reviews, signs and submits it – that is required by law. Sumbit gives you a register-ready XBRL file and copy-ready fields.
